Terms of Service

1. Introduction

Welcome to Booqly. These Terms of Service (“Terms”) govern your access to and use of the Booqly platform, including the website at booqly.co, all related subdomains, and the services provided through them (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service is operated by Booqly, a sole proprietorship registered in the Philippines (“we”, “us”, “our”, or “Booqly”).

2. Definitions

• Service: The Booqly platform, including all web applications, APIs, and related services.
• Workspace: A tenant account on the platform representing a single business.
• User: Any individual who creates an account and accesses the Service.
• Subscriber: A User who subscribes to a paid plan (Pro or Enterprise).
• End Customer: A person who books a service through a workspace's public booking page. End Customers do not have accounts on the platform.
• Booking Data: All data entered into the platform, including bookings, client records, inventory, payments, expenses, and custom fields.

3. Account and Workspace

3.1 Account Creation

Booqly uses passwordless authentication. To create an account, you provide your email address and verify it via a one-time code or magic link. New accounts are created automatically on first successful verification.

3.2 Email Verification

You must use a valid email address that you own and have access to. You are responsible for maintaining access to your registered email address.

3.3 Workspaces

Upon account creation, you may create one or more workspaces. Each workspace represents a separate business and operates independently with its own data, settings, and subscription plan.

3.4 Account Security

You are responsible for maintaining the security of your account. You must keep your email account secure, not share your login sessions with unauthorized individuals, and notify us immediately of any unauthorized access.

4. Subscription Plans

4.1 Plans and Pricing

Booqly offers multiple subscription tiers: a 30-day Free Trial, Starter ($9/mo), Growth ($16/mo), and Pro ($29/mo). Annual billing is available at a 30% discount. Current pricing is always available at booqly.co. All prices are in US Dollars (USD) and inclusive of applicable taxes.

4.2 Payment

Payment for paid plans is accepted via GCash, bank transfer, and credit/debit card. Payment is due at the start of each billing period.

4.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

4.4 Cancellation

You may cancel your subscription at any time through the Workspace settings. Upon cancellation, your plan remains active until the end of the current billing period. After expiration, your workspace downgrades to the Free plan. Data exceeding Free plan limits will be retained but read-only.

4.5 Refunds

Subscription payments are non-refundable except as required by applicable law. If you believe a charge was made in error, contact support@booqly.co.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of Philippine law
• Upload content that is defamatory, obscene, or infringes intellectual property rights
• Attempt to gain unauthorized access to other workspaces or user accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam, phishing, or unsolicited communications
• Interfere with or disrupt the Service or its infrastructure
• Resell or redistribute the Service without written authorization
• Use automated tools to scrape data from the platform
• Exceed rate limits or abuse API endpoints

Violation of these terms may result in immediate suspension or termination of your account.

6. Intellectual Property

6.1 Booqly's IP

The Service, including its software, design, branding, and documentation, is the intellectual property of Booqly. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

6.2 Your Data

You retain all rights to the Booking Data you enter into the platform. Booqly does not claim ownership of your data. See the Privacy Policy for details on data handling.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Booqly an unrestricted, perpetual, irrevocable license to use and incorporate such feedback without compensation.

7. Data Ownership and Portability

All Booking Data you create within your workspace belongs to you. You may export your data at any time. When a workspace is deleted, all data is soft-deleted and retained for 30 days, after which it is permanently deleted. Contact support@booqly.co for data export requests.

8. Service Availability

Booqly strives to maintain high availability but does not guarantee uninterrupted service. Scheduled maintenance windows may temporarily make the Service unavailable. Booqly is not liable for service interruptions caused by circumstances beyond our reasonable control.

9. Limitation of Liability

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. Booqly's total liability shall not exceed the amount you paid in the 12 months preceding the claim. Booqly shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

You may terminate your account at any time by deleting your workspace or contacting support@booqly.co. We may suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activity, or fail to pay subscription fees after notice.

11. Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of the Philippines.

12. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
